Direct Damages

To the maximum extent permitted by law, the total liability of Orion Calculus for any claims arising out of or related to these Terms and Conditions or our services shall not exceed the amount paid by you for the specific service giving rise to the claim, or SGD 500, whichever is less.

Consequential Damages Exclusion

In no event shall Orion Calculus be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, or any other commercial damages or losses, even if we have been advised of the possibility of such damages.

Financial Decision Disclaimer

You acknowledge and agree that all financial decisions made based on our analytical outputs are made entirely at your own risk and discretion. We shall not be liable for any financial losses, investment losses, business losses, or other adverse outcomes resulting from decisions you make based on our analyses.

Third-Party Actions

We are not responsible for the actions, errors, omissions, representations, warranties, or breaches of any third parties, including financial institutions, service providers, or other entities you may interact with based on information from our services.

Applicable Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Exclusive Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of Singapore for the resolution of any disputes arising out of or relating to these Terms and Conditions or our services. You waive any objection to venue in Singapore courts and any claim that Singapore courts are an inconvenient forum.

Dispute Resolution Process

Before initiating any legal proceedings, the parties agree to attempt resolution through good-faith negotiation. If negotiation does not resolve the dispute within 30 days, either party may pursue appropriate legal remedies in the courts of Singapore.

10. General Provisions

Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any written service agreements, constitute the entire agreement between you and Orion Calculus regarding the subject matter herein and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

Assignment

Survival

Provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
